John P. Fishwick's mixed feelings about EL were captured with his usual  
succinctness in the following (roughly):  "Erie Lackawanna could have been  a 
valuable property.  Shame about the debt."
 
Consider the difficulty of trying to find a way to significantly lighten  
EL's $350 million plus debt burden while protecting N&W's interests as  
shareholder.
